Legally Binding Agreement

1. Legal Agreement & Acceptance: By accessing, browsing, registering, purchasing, attending, or participating in any service, program, event, class, workshop, rehearsal, photoshoot, filming session, or digital platform operated by VZOUX or VZOUX Studio, you acknowledge that:

• You have read, understood, and accepted these Terms in full
• You are legally capable of entering into a binding agreement
• This agreement applies regardless of location, format, or duration

If you do not agree with any part of these Terms, you must not use the website or services.

2. Definition of Services (Expanded Scope): Services include but are not limited to:

• Fashion products, apparel, and accessories
• Educational programs related to modelling, runway, fashion, performance, and presentation
• In-person studio training, rehearsals, evaluations
• Online and hybrid courses via eLearning platforms
• Workshops, private sessions, group sessions
• Events, showcases, fashion shows, auditions, casting simulations
• Filming, photography, behind-the-scenes documentation

All services are provided as-is, subject to change, limitation, or discontinuation without prior notice.

3. Eligibility, Age & Legal Capacity

• Participants must be 19 years of age or older
• Minors may only participate with written parent or legal guardian consent
• VZOUX reserves the absolute right to refuse participation based on eligibility, conduct, safety, or operational judgment

Submission of false age or consent information constitutes grounds for immediate termination without refund.

4. Educational Nature & No Guarantee Clause (Strict): You explicitly acknowledge and agree that:

• All educational and training services are instructional only

• No guarantees are made regarding:

  • Employment
  • Modelling contracts
  • Runway participation
  • Casting selection
  • Representation by agencies
• Performance outcomes vary by individual ability, discipline, and market conditions

Any interpretation of implied opportunity is expressly disclaimed.

5. Registration, Payment & Financial Obligation

• All fees must be paid in full before participation unless otherwise stated in writing
• Payments are non-transferable
• Failure to attend, withdrawal, or dismissal does not entitle refunds or credits
• Chargebacks or payment disputes may result in immediate suspension and legal recovery actions

Prices may change at any time without notice.

6. Refund, Cancellation & Program Changes: Unless explicitly stated otherwise in writing:

• All services are final sale
• No refunds for missed sessions, dissatisfaction, or change of personal circumstances
• VZOUX may modify schedules, instructors, locations, or content without liability

Program cancellation by VZOUX may result in rescheduling or credit at our sole discretion.

7. Studio Rules, Conduct & Termination: Participants agree to:

• Follow all instructions from instructors and staff
• Maintain professional, respectful, and safe behavior
• Avoid harassment, disruption, or unsafe conduct

VZOUX reserves the right to remove any participant immediately without refund for any violation or risk determination.

8. Health, Physical Activity & Assumption of Risk: By participating, you acknowledge that activities may involve:

• Physical exertion
• Movement, balance, and footwear challenges
• Stress, fatigue, or emotional pressure

You voluntarily assume all risks, including injury, illness, psychological distress, or property damage.

You confirm that you are physically and mentally fit to participate.

9. Waiver & Release of Liability: To the fullest extent permitted by law, you hereby release, waive, and discharge VZOUX and VZOUX Studio from any claims arising from:

• Injury or accident
• Emotional distress
• Loss of opportunity
• Property damage
• Dissatisfaction with services

This waiver applies even if caused by ordinary negligence, excluding gross negligence where prohibited by law.

10. Media Release & Usage Rights (Irrevocable):By participating, you grant VZOUX an irrevocable, perpetual, worldwide, royalty-free license to:

• Photograph, film, and record you
• Use your image, voice, name, and likeness
• Edit and distribute content for marketing, education, documentation, and promotion

No compensation is owed unless explicitly agreed in writing.

11. Intellectual Property & Confidentiality: All materials, including:

• Training methods
• Course content
• Designs and recordings

remain the exclusive property of VZOUX. Unauthorized use, recording, or distribution is strictly prohibited.

12. Website Use & Digital Conduct: Users agree not to:

• Attempt unauthorized access
• Upload harmful or misleading content
• Scrape or misuse data

Violations may result in termination and legal action.

13. Indemnification: You agree to indemnify and hold harmless VZOUX from any claims, losses, damages, or legal fees arising from your actions, participation, or breach of these Terms.

14. Limitation of Liability: VZOUX’s total liability, if any, shall not exceed the amount paid by you for the specific service.

15. Governing Law & Jurisdiction: These Terms are governed by the laws of British Columbia, Canada, and disputes shall be resolved exclusively in the courts of British Columbia, Canada.

16. Amendments: VZOUX may update these Terms at any time. Continued use constitutes acceptance.
